You acknowledge that Head of the Class does not generally prescreen Content, but
that Head of the Class and its designees will have the right (but not the obligation)
in their sole discretion to edit, refuse, remove, or move any Content that is available
via the Site. Head of the Class reserves the right in its sole discretion to refuse
access to the site to any user for any reason, including without limitation, any
reason that violates the Agreement. Without limiting the foregoing, Head of the
Class and its designees will have the right to remove any Content that violates
the Agreement or that Head of the Class considers, in its sole discretion, objectionable,
whether for legal or for other reasons.
You acknowledge and agree that Head of the Class may preserve Content and may also
disclose Content if required to do so by law or in the good faith belief that such

(b) enforce the Agreement; (c) respond to claims that any Content violates the rights
of third parties; or (d) protect the rights, property, or personal safety of Head

By posting Content to the Site or by transmitting Content using the Site, you (a)
represent and warrant to Head of the Class that you have all necessary permission

SPECIAL, EXEMPLARY, PUNITIVE OR OTHER DAMAGES UNDER ANY CONTRACT, NEGLIGENCE, STRICT
LIABILITY OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY WAY TO THE SITE AND/OR
ANY CONTENT CONTAINED THEREIN, OR ANY PRODUCT OR SERVICE USED OR PURCHASED THROUGH
HEAD OF THE CLASS WEB SITE. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE IS
TO STOP USING IT. Some jurisdictions do not allow the limitation or exclusion of
liability for incidental or consequential damages, so the above limitations may

THE AGGREGATE MAXIMUM LIABILITY TO HEAD OF THE CLASS FOR ALL DAMAGES, LOSSES, AND

Indemnification
You agree to indemnify, defend and hold us, our officers, directors, employees,
agents and representatives harmless from and against any and all claims, damages,

your use of the Site; or (c) your violation of the rights of any third party. Head
of the Class Account Termination You understand and agree that Head of the Class
may, under certain circumstances and without prior notice to you, terminate your
access to and use of the Site. Cause for such termination shall include, but not
be limited to, (a) breaches or violations of the Agreement or other agreements or
guidelines, (b) requests by law enforcement or other government or regulatory authorities,
or (c) technical difficulties.

Copyright Infringement
The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for
copyright owners who believe that material appearing on the Internet infringes their
rights under U.S. copyright law. If you believe in good faith that materials hosted
by Head of the Class, LLC. or one of its subsidiaries infringe your copyright, you
(or your agent) may send us a notice requesting that the material be removed, or
access to it blocked. If you believe in good faith that a notice of copyright infringement
has been wrongly filed against you, the DMCA permits you to send us a counter-notice.
Notices and counter-notices must meet the then-current statutory requirements imposed
by the DMCA; see http://www.loc.gov/copyright/ for details. Notices and counter-notices
with respect to our Sites should be emailed to information@class-files.com. We suggest
that you consult your legal advisor before filing a notice or counter-notice. Also,
be aware that there can be penalties for false claims under the DMCA.

Miscellaneous
This Agreement, together with all Head of the Class policies referred to herein,
constitutes the entire agreement between you and Head of the Class relating to your
use of the Site and supersedes and any all prior or contemporaneous written or oral
agreements on that subject between us. This Agreement and the relationship between
you and Head of the Class are governed by and construed in accordance with the laws
of the State of Arizona, without regard to its principles of conflict of laws. You
and Head of the Class agree to submit to the personal and exclusive jurisdiction
of the federal and state courts located within Maricopa County, Arizona, and waive
any jurisdictional, venue, or inconvenient forum objections to such courts. If any
provision of this Agreement is found to be unlawful, void, or for any reason unenforceable,
then that provision shall be deemed severable from this Agreement and shall not
affect the validity and enforceability of any remaining provisions. No waiver by
either party of any breach or default hereunder shall be deemed to be a waiver of
any preceding or subsequent breach or default. Any heading, caption or section title
contained in this Agreement is inserted only as a matter of convenience and in no
way defines or explains any section or provision hereof.
